Program Overview
Ace365 offers a Partner Program that enables affiliates to promote Ace365 products to eligible players and to earn commissions based on activity generated by referred players. Participation by the Partner constitutes acceptance of these Terms and the accompanying policies, as may be updated from time to time.
Definitions
- Partner: an individual or legal entity that enters into an Agreement to promote Ace365 products and receive commissions.
- Ace365: the brand and platform operated by Ace365, including all licensed gaming services and promotional materials provided to Partners.
- Net Revenue: the aggregated revenue generated by referred players, calculated in accordance with these Terms, after deductions including bonuses, promotions, refunds, chargebacks, and any applicable taxes or withholdings, but before any Partner commissions.
- Tracking Link: the unique URL or tracking mechanism provided to the Partner to identify referred players and attribute their activity to the Partner.
- Eligible Player: a player who has satisfied all legal, age, and verification requirements and who is referred to Ace365 through the Partner's Tracking Link.
- Promotion Materials: banners, links, widgets, and other assets supplied or approved by Ace365 for use by the Partner.
- Payout: the payment of earned commissions to the Partner, in accordance with these Terms and any applicable schedules and methods.
- Calendar Month: each calendar month for the purpose of calculating monthly Revenue-based thresholds and payments.
- Fraud: any manipulation, misrepresentation, or other improper conduct intended to distort affiliate activity or payments.
- Agreement: these Partner Terms and any amendments thereto, together with any policy statements incorporated by reference.
Eligibility and Registration
To participate, the Partner must be at least 18 years of age, legally capable of entering into binding contracts, and operate a legitimate business or professional activity. The Partner must apply through the Ace365 Partner Portal, provide accurate information, and agree to these Terms. Ace365 reserves the right to conduct due diligence and to suspend or terminate participation if the Partner fails to meet applicable laws, regulatory requirements, or Ace365’s internal policies. A binding Agreement is formed upon acceptance by Ace365 in writing or via the Partner Portal, after which a Tracking Link will be issued to the Partner.
Tracking, Attribution, and Compliance
Ace365 uses tracking technologies to attribute referred player activity to the Partner. Attribution is based on Last Click within a 60-day attribution window from the first interaction, subject to the integrity of the Tracking Link and cookies or other tracking identifiers in accordance with Ace365’s cookies and privacy policies. The Partner must not alter tracking data or engage in activities intended to manipulate attribution. The Partner shall comply with applicable laws, including anti-money laundering, anti-fraud, know-your-customer (KYC) requirements, and sanctions regimes. Any suspected fraud or prohibited activity may result in immediate suspension or termination of the Agreement and withholding of all pending payments.
Commission Structure
The Partner earns a tiered RevShare based on Net Revenue generated by referred players in a Calendar Month. The following tiers apply:
- Tier 1: 25% of Net Revenue up to and including 50,000 units in a Calendar Month;
- Tier 2: 32% of Net Revenue from 50,001 up to and including 150,000 units in a Calendar Month;
- Tier 3: 40% of Net Revenue above 150,000 units in a Calendar Month.
Net Revenue thresholds and percentages are calculated monthly. If Net Revenue is zero or negative, no commission is due for that period. All commissions are calculated in the currency specified in the Partner’s account profile and are subject to applicable taxes and withholdings.
Payouts, Schedules, and Withholdings
Payouts occur on a monthly cycle following the end of each Calendar Month. Ace365 aims to remit earned commissions within 15 business days after month-end, provided the Partner has met the minimum payout threshold of 100 USD (or the equivalent in the Partner’s chosen currency). Payments are made via Bank Transfer or an approved electronic settlement method. Ace365 reserves the right to suspend, adjust, or withhold payments in the event of suspected fraud, disputes, or insufficient verification. The Partner is responsible for any tax obligations arising from payments, and Ace365 will issue any information necessary for tax reporting as required by applicable law.
Marketing Tools and Promotion Guidelines
Ace365 will supply Promotion Materials and allow use of additional assets as agreed. The Partner must use Promotion Materials in a truthful, non-deceptive manner and in a way that accurately reflects Ace365 offerings. The Partner shall not engage in improper marketing practices, including spam, misrepresentation of terms, or implying guarantees of results. The Partner shall not bid on Ace365 brand terms or keywords in paid search campaigns without express written consent. Sub-affiliates, if approved in writing by Ace365, remain under the Partner’s responsibility, and the Partner must ensure Sub-affiliates comply with these Terms. All marketing activities must comply with applicable advertising, consumer protection, and gambling laws.
Brand Usage and Intellectual Property
Ace365 grants the Partner a non-exclusive, revocable license to use Ace365 Promotion Materials solely for promoting Ace365 products in accordance with these Terms. The Partner shall not modify, obscure, or remove any Ace365 trademarks, disclaimers, or regulatory notices. Upon termination or expiration of the Agreement, the Partner shall cease all use of Ace365 marks and remove Promotion Materials from all channels within a reasonable time.
Data Protection, Privacy, and Cookies
The Partner shall process personal data in accordance with Ace365’s Privacy Policy and any data processing agreements executed between the Parties. The Partner shall implement appropriate security measures to protect personal data, honor data subject rights, and comply with applicable data protection laws. Ace365 may use cookies and similar technologies for attribution, analytics, and marketing, and the Partner acknowledges and agrees to the use of such technologies in accordance with Ace365 policies.
Term, Termination, and Suspension
Either party may terminate the Agreement with 30 days’ written notice, or immediately for material breach or violation of law. Termination does not affect accrued rights and obligations as of the termination date. Upon termination, the Partner must immediately cease using Ace365 Promotion Materials and remove all Ace365-related references from sites under the Partner’s control. Any pending commissions will be settled in accordance with the payout rules, subject to any hold placed for fraud investigation or unsettled disputes.
Disputes, Governing Law, and Dispute Resolution
These Terms are governed by the laws of the jurisdiction of Ace365’s incorporation. Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in the relevant jurisdiction, or, if arbitration is not available, by the courts of competent jurisdiction in that jurisdiction. Each party shall bear its own costs unless otherwise ordered by the arbitrator or court.
Support, Service Levels, and Contact
Partners receive a dedicated Affiliate Manager and access to support channels for technical and billing inquiries. Miscellaneous and Entire Agreement
These Terms, together with any policy statements incorporated by reference, constitute the entire agreement between the Partner and Ace365 regarding the Partner Program. Any amendments must be in writing and signed by both parties. If any provision is found invalid or unenforceable, the remaining provisions remain in effect.
